SECTION A: MASTER TERMS OF SERVICE AND USER AGREEMENT
1. PREAMBLE AND BINDING NATURE OF THE AGREEMENT
1.1. This Master Client Agreement (the "Agreement") constitutes a legally binding contract between WILDX LIMITED, an entity incorporated under the laws of England and Wales ("WildPay", "we", "us", or "our"), and you, the user ("User", "you", or "your"), whether as an individual consumer or a corporate entity.
1.2. By downloading our mobile application, accessing our website, creating an account, or using any of our financial technology services (collectively, the "Services"), you acknowledge that you have read, understood, and unconditionally agreed to be bound by this Agreement in its entirety.
1.3. We reserve the unequivocal right to amend, modify, or update this Agreement at our sole discretion. Any material changes will be communicated to you via email or through an in-app notification. Continued use of the Services post-amendment constitutes irrevocable acceptance of the revised Agreement.
2. COMPREHENSIVE DEFINITIONS AND INTERPRETATION
2.1. "Account" means the digital ledger and electronic money account maintained by us in your name.
2.2. "AML/CTF" means Anti-Money Laundering and Counter-Terrorist Financing regulations.
2.3. "Card" means any physical or virtual payment card (Visa, Mastercard, or otherwise) issued to you through our third-party regulated issuing partners (e.g., BSICards, Bridgecard, SMOCUP PAY).
2.4. "Chargeback" means a demand by a credit-card provider for us to make good the loss on a fraudulent or disputed transaction.
2.5. "Digital Assets" or "Cryptocurrency" means a digital representation of value that functions as a medium of exchange, a unit of account, or a store of value, but does not have legal tender status in any jurisdiction (e.g., Bitcoin, USDT).
2.6. "Fiat Currency" means government-issued currency that is designated as legal tender in its country of issuance.
2.7. "Force Majeure" means any event beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, blockchain network failures, or governmental restrictions.
2.8. "Platform" refers to the WildPay Wallet website, mobile application, APIs, and associated infrastructure.
3. REGULATORY STATUS AND THIRD-PARTY PARTNERS
3.1. Technology Provider Status: WILDX LIMITED is exclusively a financial technology platform and software interface. We are not a licensed bank, deposit-taking institution, or regulated financial custodian.
3.2. Regulated Third-Parties: All regulated financial operations—including fiat safeguarding, payment processing, card issuance, and Virtual Asset Service Provider (VASP) activities—are executed exclusively by our duly licensed partners (e.g., Stripe, PayPal, Binance, CoinPayments, BSICards, Veriff, Reloadly).
3.3. No Financial Advice: Nothing published on the Platform constitutes investment, legal, tax, or financial advice.
4. ACCOUNT ELIGIBILITY, REGISTRATION, AND ONBOARDING
4.1. Eligibility Criteria: You warrant that you are at least 18 years of age, possess the legal capacity to form a binding contract, and reside in a jurisdiction where our Services are legally permissible.
4.2. Identity Verification (KYC): You must undergo a strict Know Your Customer (KYC) onboarding process. You agree to provide true, accurate, and up-to-date information, including a government-issued photo ID, proof of address, and live biometric facial recognition data.
4.3. Corporate Accounts: If registering on behalf of a legal entity, you must provide constitutional documents (Certificate of Incorporation, Articles of Association) and identify all Ultimate Beneficial Owners (UBOs) holding 25% or more of the company's shares.
5. FIAT WALLET SERVICES, DEPOSITS, AND WITHDRAWALS
5.1. Funding the Account: You may fund your Account using supported methods (credit/debit cards, bank transfers). We do not accept cash or cheques.
5.2. Processing Times: Deposit and withdrawal processing times vary depending on the payment network (e.g., SEPA, SWIFT, ACH). We are not liable for delays caused by intermediary banks.
5.3. Reserves and Holds: We reserve the right to place a "Hold" on your funds or require a "Rolling Reserve" if we determine, in our sole discretion, that your Account poses a high level of risk (e.g., high chargeback ratios).
5.4. Chargebacks: If you initiate an unauthorized Chargeback with your bank against a deposit made to WildPay, you will be considered in material breach of this Agreement. We will instantly suspend your Account, dispute the Chargeback using your KYC data, and charge a £50 administrative fee per dispute.
6. CARD ISSUANCE, USAGE, AND CANCELLATION RULES
6.1. Issuance: Cards are issued pursuant to licenses by Mastercard® or Visa®. You must activate the Card upon receipt.
6.2. Strict Non-Refund Policy: Funds loaded onto a Card via your Wallet are strictly for point-of-sale or online card transactions. Under no circumstances can card balances be refunded, withdrawn to a bank account, or transferred peer-to-peer.
6.3. Prohibited Card Transactions: You are explicitly forbidden from executing Card-to-Card transfers, Bank-to-Card transfers (outside authorized gateways), and Western Union-to-Card transfers.
6.4. The 10-Decline Rule: To protect our network integrity, if your Card registers more than ten (10) declined authorization attempts within any rolling five (5) calendar-day period, the Card will be permanently deactivated. We hold zero liability for any inconvenience or loss resulting from this automated cancellation.
7. DIGITAL ASSET (CRYPTO) SERVICES AND EXTREME RISKS
7.1. Volatility Acknowledgment: You explicitly acknowledge that Digital Assets are highly volatile. The value of cryptocurrencies can drop to zero. You assume 100% of the market risk.
7.2. Irreversibility of Blockchain: Blockchain transactions cannot be reversed, cancelled, or altered once broadcasted to the network. If you send Digital Assets to an incorrect address, or via an incorrect network (e.g., sending ERC-20 tokens via BEP-20), those assets are permanently lost. We are not liable for user-side routing errors.
7.3. Forks and Airdrops: We do not guarantee support for any blockchain forks, airdrops, or derivative tokens. We reserve the right to determine our operational response to such network events at our absolute discretion.
8. RESTRICTED AND STRICTLY PROHIBITED ACTIVITIES
You shall not utilize the Platform to engage in, facilitate, or finance any of the following activities:
- Illegal Acts: Any violation of local, national, or international law.
- Weapons and Drugs: Firearms, munitions, unregulated pharmaceuticals, narcotics, or drug paraphernalia.
- Adult Content: Pornography, escort services, or sexually explicit materials.
- Gambling: Unlicensed lotteries, sports betting, casinos, or binary options.
- Financial Fraud: Ponzi schemes, Multi-Level Marketing (MLM), High Yield Investment Programs (HYIP), or unauthorized debt collection.
- Sanctions Evasion: Transacting with entities located in comprehensively sanctioned jurisdictions (e.g., Iran, North Korea, Syria, Russia, Cuba) or individuals on the OFAC SDN list.
- Crypto Obfuscation: Using cryptocurrency mixers, tumblers (e.g., Tornado Cash), or privacy coins (e.g., Monero) to obfuscate the origin of funds.
9. INTELLECTUAL PROPERTY RIGHTS
9.1. All trademarks, logos, UI/UX designs, source code, and proprietary algorithms associated with WildPay Wallet are the exclusive intellectual property of WILDX LIMITED.
9.2. You are granted a limited, non-exclusive, non-sublicensable, and revocable license to access the Platform solely for your personal or internal business use. Any unauthorized scraping, reverse-engineering, or copying of our Platform constitutes a severe legal violation.
10. DISCLAIMERS, WARRANTIES, AND INDEMNIFICATION
10.1. "As-Is" Provision: The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express or implied, including the warranties of merchantability and fitness for a particular purpose.
10.2. Indemnification: You agree to indemnify, defend, and hold harmless WILDX LIMITED, its affiliates, directors, employees, and Partners from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your breach of this Agreement, your violation of any law, or your infringement of third-party rights.
11. ABSOLUTE LIMITATION OF LIABILITY
11.1. To the maximum extent permitted by applicable law, WILDX LIMITED shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of revenue, loss of profits, loss of data, or loss of goodwill.
11.2. In no event shall our aggregate maximum liability arising out of or in connection with this Agreement exceed the total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the claim.
12. TERMINATION AND SUSPENSION OF SERVICES
12.1. We may suspend, restrict, or terminate your Account immediately and without prior notice if:
- We suspect you are engaged in fraudulent or illegal activity.
- You breach any term of this Agreement.
- We are directed to do so by a regulatory authority, court of law, or our banking Partners.
- You become bankrupt or insolvent. 12.2. Upon termination, all pending transactions will be cancelled. Any remaining Fiat balance will be returned to your original funding source, minus any applicable legal or administrative deductions.
13. GOVERNING LAW AND BINDING ARBITRATION
13.1. This Agreement, and any dispute arising out of it, shall be governed by and construed in accordance with the laws of England and Wales.
13.2. Any dispute, controversy, or claim arising out of this Agreement shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England. The language of the arbitration shall be English.
